Job Description:

The Senior Manager, Origination and Structuring is tasked with leading a team responsible for leading the negotiation and structuring of resource-related contracts and the implementation of policies and programs related to the expansion and diversification of Tri-State’s resource portfolio. This role will also oversee the structuring and execution of long-term sales agreements and building external relationships within the region that facilitate potential business transactions with other entities. The successful candidate will work closely with other Energy Management leadership roles to support regulatory efforts, existing power supply resources, and budgetary priorities and deadlines.

Senior Manager Origination and Structuring

Hiring Salary Range: $141,000-$239,000

Actual compensation offer to candidate may vary outside of the posted hiring salary range based upon work experience, education, and/or skill level.

Responsibilities:

  • Oversee the development, negotiation, execution and administration of long-term power purchases and sales contracts, and transmission and ancillary service contracts, in order to maintain reliable and low-cost electric service to Tri-State members.

  • Structure economically favorable terms and conditions for such transactions that reflect an understanding of transmission rights, Tri-State’s resource plan, generation fleet economics, wholesale and organized market operations, regulatory requirements, and existing long-term structured power sales and purchases.

  • Oversee Tri-State’s responses to business development opportunities such as responding to other utility RFPs, working with another utility for joint participation in a resource, or supporting load growth opportunities in a way that maintains reliability and results in favorable economic outcomes for Tri-State.

  • Work closely with Member Systems in the implementation of generation projects, load retention and new load acquisition efforts. Provide support in the analysis of Tri-State rates and policies on Member Systems and their customers.

  • Manage and develop methods and systems to measure, monitor, oversee and respond to system topology and changes to system topology as it relates to contractual transmission rights, deliverability to Member system load, real-time load/resource balancing and measurement of billing determinants related to transmission and power billing.

  • Oversee the development and management of pricing tools to inform the successful financial structure of related contracts.

  • Support Electric Resource Plan efforts through the analysis of resources and contribute to the Energy Resources competitive bidding evaluation efforts.

  • Work closely with Member Systems on power supply matters that are consistent with Tri-State’s wholesale contract and related policies.

  • Support Tri-State Board of Directors policy development and revisions related to the functions above.

  • Oversee and support FERC and other regulatory filings related to structured transactions and policy and rate analysis described above.

  • Attain knowledge and remain knowledgeable of development in regulations, laws, standards and best practices applicable to the functional area including, but not limited to, Standards of Conduct, Environmental, Employment Law, NERC Reliability Standards and Safety. Must be familiar with, and comply with, all aspects of Corporate Policy C-54, Compliance.

  • Ensure department’s adherence with industry compliance programs and state and federal regulatory and legislative requirements.

  • Coordinate cross-functionally efforts for resource contracting with departments such as Regulatory, Financial Planning & Analysis, Resource Planning, Power Supply, Merchant Transmission, Energy Markets, Generation, Transmission Planning and others to facilitate successful resource integration.

  • Maintain compliance with all company policies, procedures, and regulatory requirements, ensuring continuous, reliable electric service.

  • Oversee the recruitment, training, and development of department staff, including full-time employees, contingent workers, and consultants.

  • Business Continuity/Crisis Management:

  • Directs the development, implementation and continuous improvement of an enterprise business continuity/crisis management function that identifies the process for establishing authorities, responsibilities, rules and guidelines that ensures business continuity and 100% compliance.

  • Provides direction and actively participates on Crisis Management Team. Ensures identified issues and concerns are addressed.

  • Ensures the annual review and revision of all programs, procedures and plan documents related to business continuity and crisis management.

  • Ensures compliance with all federal, state, county and local laws and regulations related to business continuity standards and guidelines.

  • Ensures that appropriate relationships are established with agencies, law enforcement, first responders, etc.

  • Managerial Responsibilities:

  • Ensure 100% compliance with all laws, rules, regulations and requirements in functional areas. Ensures that established business processes are captured and maintained as part of Tri-State’s Policies, Programs and Procedures (PP&P) strategy.

  • Ensures that training and development needs for each employee have been identified and that adequate learning opportunities are provided. Ensures that employees provide coaching and mentoring opportunities as appropriate.

  • Ensures that team and individual employee execution is evaluated against established goals and objectives for all accountabilities. Ensures that delegated functions effectively forecast work and resource needs, including human, capital and physical resources, and recommends annual budgets to meet goals and objectives aligned to support enterprise strategies, goals and objectives. Actively monitors performance against budget, identifies variances, and backcasts against forecasts to identify and learn from error.

  • Maintain compliance with all company policies and procedures and attain knowledge and remain knowledgeable of regulations, laws, standards, and best practices applicable to functional area.

  • Because Tri-State has an obligation to provide continuous, reliable electric service to its customers, the ability to work overtime at any time of the day or week is considered an essential function of the job.

OTHER DUTIES/RESPONSIBILITIES

  • Perform other related duties as assigned, contributing to Tri-State’s mission of providing, reliable, affordable, and responsible electricity.

Qualifications:

Education and Training

  • BS/BA in Engineering, Business or related discipline, or equivalent combination of experience and education.

Knowledge, Skills, and Ability:

  • Knowledge of generation technologies, including renewable and storage technologies, wholesale power markets, utility operations, and market design.

  • Knowledge of commercial practices for bulk power transactions, settlements and scheduling.

  • Understanding of board policy, public policy and regulatory requirements as they relate to commercial agreement structures.

  • Ability to schedule, coordinate and manage the efforts of internal and external staff making contributions to overall effort.

  • Ability to successfully negotiate complex and financially significant contracts involving power resources.

  • Ability to read, interpret and analyze power-related contracts to assess benefits and risks.

  • Ability to draft contractual language to propose and capture agreed-upon commercial terms.

  • Ability to analyze complex regulatory, financial and technical information and to develop related solutions.

  • Ability to interact successfully with executive staff members at Tri-State, Member Systems, and third parties.

  • Extensive knowledge of regional markets and transmission systems, including the effects of organized markets.

Experience:

  • A minimum of ten (10) years of relevant experience involving long-term (defined as deals with durations of 18 months or longer) origination experience including the successful development and execution of structured transactions.

  • Substantial knowledge of contract negotiation in utility, gas, or trading environments.

  • Substantial knowledge of power system operations.

  • Five (5) years of management experience

DESIRED JOB QUALIFICATIONS:

  • Five (5) years of experience in managing complex, deadline driven projects or initiatives.

  • Experience in the electric power industry with the acquisition of power resources preferred.
